  • “Content”: Materials (text, images, logos, videos) provided by the Client or created by the Company.

  • “Agreement”: The contract between the Client and Born Tech Media Private Limited for Services.

2. Services

  • We provide digital marketing services as described in project proposals, contracts, or service agreements.

  • Scope, timelines, and deliverables will be mutually agreed upon in writing.

  • We reserve the right to modify or discontinue Services with prior notice.

3. Client Obligations

  • Provide accurate information, necessary Content, and access to required platforms (e.g., social media accounts, Google Analytics).

  • Ensure all Content provided does not infringe third-party rights (copyrights, trademarks) or violate laws.

  • Timely payments as per agreed terms (Section 5).

4. Intellectual Property

  • Client Content: The Client retains ownership of Content they provide. By submitting Content, you grant us a non-exclusive license to use it for service delivery.

  • Company Creations: All original work (designs, strategies, reports) created by us remains our property until full payment is received. Post-payment, the Client receives a non-exclusive license for use.

  • Third-Party Tools: Use of third-party platforms (e.g., Google Ads, Facebook) is subject to their respective terms.

5. Payment Terms

  • Fees, payment schedules, and methods will be outlined in invoices or service agreements.

  • Late payments may incur interest (e.g., 1.5% monthly) or result in service suspension.

  • Refund eligibility (if any) will be specified in the service agreement.

6. Limitation of Liability

  • We strive for high-quality Services but do not guarantee specific results (e.g., rankings, traffic, sales).

  • We are not liable for indirect, incidental, or consequential damages arising from Service use.

  • Liability is capped at the total fees paid by the Client in the preceding 6 months.

7. Confidentiality

  • Both parties agree to keep confidential information (business strategies, data, pricing) private unless required by law.

8. Termination

  • Either party may terminate the Agreement with written notice if the other breaches terms and fails to remedy within 15 days.

  • On termination, the Client pays for Services rendered up to the termination date.

9. Governing Law & Disputes

  • Governed by Indian law. Disputes will be resolved in courts in Jaipur, Rajasthan.

  • Parties agree to negotiate disputes in good faith before legal action.

10. Changes to Terms

  • We may update these Terms at any time. Continued use after changes constitutes acceptance.
